To ensure that the obligations of _________(“the Borrower”) under the Loan Contract (hereinafter referred to as the Principal Contract) ____ ____Zi No. ___ signed by the Borrower and Party B on ________ can be performed actually, Party A is willing to provide the mortgage guarantee. To define the rights and obligations of both the Parties and in accordance with the Contract Law, the Guarantee Law and other relevant laws and regulations of China, both the Parties hereby, upon agreement reached through equal consultation, enter into this Contract.

Article 1 Guarantee and Representation of Party A

1.1 Party A is the good, valid and legal owner or the operator and manager authorized by the State of the mortgaged property hereunder; the mortgaged property is free of any dispute over ownership or the right of operation and management.

1.2 Party A has fully understood the purpose of the loan under the Principal Contract, voluntarily provide the mortgage guarantee for the Borrower, and all of its declaration of will hereunder are true.

1.3 Party A has given a sufficient and reasonable statement of any defect of the mortgaged property.

1.4 The mortgage hereunder may be created over the mortgaged property hereunder according to law.

1.5 Creation of the mortgage hereunder will not be subject to any limitation.

1.6 The mortgaged property hereunder is not sealed up, seized or kept under custody according to law.

1.7 If the mortgaged property hereunder has been leased in whole or in part, Party A shall notify the tenant of the creation of the mortgage, and notify Party B in writing of the relevant information on the lease.

1.8 The mortgage guarantee hereunder complies with the Articles of Association of Party A and the procedures and competency as specified in such Articles of Association, and will not violate the applicable laws, regulations and other relevant provisions; if such representation and guarantee are false or conceal facts, Party A shall still undertake the liability for mortgage guarantee under this Contract, and will undertake all liabilities arising out thereof.

Article 2 Kind and Amount of the Principal Claim Guaranteed

2.1 The principal claim guaranteed hereunder is the loan rendered by Party B under the Principal Contract, that is, RMB _____ yuan.

Article 3 Time Limit for the Debtor to Perform the Obligation under the Principal Contract

3.1 The time limit for performance of the Principal Contract is ___ months, that is, from____ to ___ . In case of any change, the provisions in the Principal Contract shall apply.

Article 4 Scope of Mortgage Guarantee

4.1 The scope of the mortgage guarantee provided by Party A shall include: any principal, the interest, compound interest and penalty interest of the loan liquidated damages, damages under the Principal Contract, all reasonable expenses for realizing the principal claim and the mortgage right such as attorney’s fees and all other payable expenses.

Article 5 Mortgaged Property

5.1 For the details of the mortgaged property, see the List of the Mortgaged Property.

5.2 The value of the mortgaged property as agreed in the list of the mortgaged property shall not operate as the valuation basis upon which Party B disposes of the mortgaged property pursuant to Article 9 hereof, nor constitute any limitation on exercise of the mortgage right by Party B.

Article 6 Mortgage Registration

6.1 If the mortgage registration shall be handled as required by laws and regulations or agreed by both the Parties, both the Parties shall, within 15 days after this Contract is signed, handle the procedures for the mortgage registration with the local mortgage registration department.

6.2 In case of any change in any registered matter of the mortgage, if the registration of change shall be handled according to law, both the Parties shall, within 15 days upon change of the registered matter, handle the procedures for the registration of change with the competent mortgage registration department.

6.3 Upon completion of the mortgage registration, Party B will keep the original of the certificate of third party right of the mortgaged property, and the original of the certificate of the title to the mortgaged property shall be kept by Party A.

Article 7 Occupation and Custody of the Mortgaged Property

7.1 The mortgaged property hereunder shall be kept under the custody of Party A. Party A shall maintain the good conditions of the mortgaged property during the period of such custody, and shall not use the mortgaged property in any unreasonable way so as to reduce or damage the value of the mortgaged property. Party B shall have the right to examine the use and management of the mortgaged property.

7.2 In case of any damage to or loss of the mortgaged property, Party A shall timely notify Party B thereof, immediately take measures to prevent the loss from being expanded, and timely submit to Party B the certificate proving such damage or loss issued by the competent department.

Article 8 Insurance

8.1 Party A shall, within 15 days upon signing of this Contract, handle the procedures for basic property insurance and additional______ insurance (ZL’s comments: suggest to negotiate with the lender and determine the type of the insurances) with the relevant insurer. The term of insurances shall not be less than the time limit for performance of the Principal Contract. The insured amount shall not be less than the principal and interest of the loan under the Principal Contract.

8.2 Party A shall indicate that in the insurance policy, in case of occurrence of any insured accident, Party B shall be the first beneficiary. No terms in the insurance policy may limit the rights and interests of Party B.

8.3 Within the valid term of this Contract, Party A shall not suspend or cancel the said insurances by any reason; in case of suspension of any said insurance, Party B shall have the right to handle the procedures for such insurances on behalf of and at the expenses of Party A.

8.4 Within the valid term of this Contract, in case of occurrence of any insured accident against the mortgaged property, all of the insurance indemnities shall be used as the mortgaged property to satisfy the principal claim of Party B in advance, or be used to resume the value of the mortgaged property upon consent of Party B.

Article 9 Realization of the Mortgage Right

9.1 When exercising the mortgage right, Party B shall have the right, according to law, to convert the mortgaged property into money upon consultation with Party A so as to satisfy the debt owed by the Borrower under the Principal Contract, or have priority in satisfying its claim from the proceeds of auction or sale of the mortgaged property.

9.2 When Party B disposes of the mortgaged property pursuant to 9.1 hereof, Party A shall provide cooperation and shall not set any hindrance.

9.3 The proceeds obtained from disposal of the mortgaged property by Party B shall be used on the following order:

(1)   To satisfy all expenses for disposal of the mortgaged property according to law;

(2)   To withhold and pay all taxes imposed upon disposal of the mortgaged property;

(3)   To repay the interests of the debt under the Principal Contract; and

(4)   To repay the debt under the Principal Contract.

After the above amounts are deducted, any remaining amount (if any) shall be handled pursuant to 11.6 hereof by Party B.

Article 10 Rights and Obligations of Party A

10.1 After this Contract takes effective, without written consent of Party B, Party A shall not create any other mortgage or pledge in any kind over the mortgaged property hereunder, provided that, if the value of the mortgaged property exceeds the principal claim guaranteed, the exceeded amount of the mortgaged property may be mortgaged again.

10.2 If Party A has leased the mortgaged property, after the mortgage right is realized, the lease contract shall, within its valid term, continue in force and effect with the assignee of the mortgaged property. If the mortgaged is not leased, Party A shall still have the right, without the consent of Party B, to lease the mortgaged property after this Contract takes effective.

10.3 During the period of existence of the mortgage right, if Party A is to transfer the mortgaged property in whole or in part(except Party A transfers the mortgaged property in whole or in part by means of presale, or in the way such as transfer of equity under which it is no need to handle the procedures for transfer of house property), it shall obtain the consent of Party B.

10.4 After this Contract takes effective, if Party B is to transfer the principal claim to any third party, Party A shall undertake the liability for guarantee within the original scope of mortgage guarantee, provided that Party B shall notify in writing Party A of such transfer.

10.5 Except extension of the time limit of the loan, increase of the loan amount, expansion of the scope of the mortgage guarantee or aggravation of Party A’s liability for guarantee, Party B may, without the consent of Party A, change the Principal Contract with the Borrower under the Principal Contract, and Party A shall still undertake the liability for mortgage guarantee within the scope of mortgage guarantee as determined hereunder.

10.6 If Party A takes any act enough to reduce the value of the mortgaged property (except presale of the mortgaged property by Party A) and adversely affecting the rights and interests of Party B, it shall cease such act; when the value of the mortgaged property is reduced and hence the rights and interests of Party B are adversely affected, Party A shall resume the value of the mortgaged or provide the guarantee equivalent to the reduced value.

10.7 If Party A has no fault in reduction of the value of the mortgaged property, it shall provide Party B with the guarantee to the extent it obtains the damages. The remaining value of the mortgaged property shall still act as the guarantee for the principal claim.

10.8 If the mortgaged property will be expropriated as required for construction of the State, the compensation for expropriation obtained shall be used to satisfy the principal claim guaranteed in advance or be deposited with a third Party as agreed by both the Parties.

10.9 Party A shall undertake the relevant expenses and costs hereunder, including but not limited to attorney’s fees and the expenses for property insurance, appraisal, valuation, registration, transfer, custody and litigation.

10.10 After this Contract takes effective, in case of any division, merger or stock system reform of Party A, it shall properly handle the obligation of guarantee hereunder. 

10.11 When the mortgage right is or may be violated by any third party, Party A shall notify Party B thereof and assist Party B for resisting such violation.

10.12 If Party A is under any of the following conditions, it shall notify in writing Party B:

10.12.1 where its operating system is changed, such as contract, ssociation, division, merger, stock system reform;

10.12.2 where its business scope or registered capital is changed;

10.12.3 where it is involved into major economic dispute litigation;

10.12.4 where the title to the mortgaged property is subject to dispute;

10.12.5 where it goes into bankruptcy, winding-up or dissolution, or ceases its operation for reorganization, or its business license is suspended, or it is canceled; or

10.12.6 where its domicile, telephone or legal representative is changed.

10.13 In case of the circumstance as stated in 10.12.1 and 10.12.2 above, Party A shall notify Party B in writing 30 days in advance (from the date when the resolution of the board of directors of Party A is made, or, if the case needs to be submitted to the competent governmental department for approval or registration, from the date of such submission); in case of any other circumstances as stated in 10.12, Party A shall notify Party B in writing within 7 days upon occurrence of such circumstances.

10.14 If the mortgaged property is a project under construction, when Party B handles the relevant procedures for registration of change of house property mortgage with the competent mortgage registration department after the title certificate is obtained upon completion acceptance of the project, Party A shall actively cooperate with Party B therefor.

10.15 When the Borrower has satisfied all debts under the Principal Contract, Party A shall have the right to require to discharge the mortgage hereunder.

Article 11 Rights and Obligations of Party B

11.1 If, upon expiration of the time limit for performance of the Principal Contract, the Borrower fails to repay the principal and interest of the loan and other expenses as agreed, and Party B terminates the Principal Contract pursuant to the provisions of the Principal Contract, Party B shall have the right to dispose of the mortgaged property hereunder.

11.2 Under any of the following conditions, Party B shall have the right to dispose of the mortgaged property, and have priority to be satisfied from the proceeds of such disposal:

11.2.1 Where the Principal Contract is terminated pursuant to the provisions of the Principal Contract or according to law; or

11.2.2 Where Party A collects the loan in advance under other circumstances as agreed in the Principal Contract, and the claim under the Principal Contract is not realized in part or in whole;

11.3 Party B shall have the right to require Party A to assist it for preventing the mortgage right from being violated by any third party.

11.4 If, within the valid term of this Contract, Party B is to transfer the principal claim according to law, it shall timely notify Party A in writing.

11.5 Upon realization of the mortgage right, Party B shall exert its best efforts to cooperate with Party A for exercise by Party A of the right to recourse against the Borrower.

11.6 After all debts within the scope of the mortgage guarantee hereunder have been satisfied by using the proceeds from disposal of the mortgaged property hereunder, any remaining amount, if any, shall be returned to Party A.

11.7 After the Borrower has satisfied all debts under the Principal Contract, Party B shall discharge the mortgage over the mortgaged property, that is, Party B shall, jointly with Party A and within 10 days upon full satisfaction of all debts under the Principal Contract, handle the procedures for cancellation of the mortgage registration with the original registration department to discharge the mortgage hereunder, and all expenses therefor shall be borne by Party A.

Article 12 Liabilities for Breach of Contract

12.1 If Party A makes any false statement and representation in Article 1 hereof and hence causes any loss to Party B, it shall make compensation.

12.2 After this Contract takes effective, each party shall perform its obligations hereunder. If either party fails to perform its obligations hereunder in whole or in part, it shall undertake the relevant liability for breach of contract and indemnify the other party the losses.

12.3 If this Contract becomes invalid due to Party A’s fault, Party A shall undertake the liabilities according to the laws of China.

Article 13 Entry into Force, Change, Termination and Expiration of this Contract

13.1 This Contract shall take effective after it is signed or sealed by the legal representative (responsible person) or authorized agent of each party and affixed with the official seal of each party, or, if the registration of mortgage is required, from the date when the procedures for registration of mortgage are handled with the competent mortgage registration department, and shall be terminated from the date when the principal, interest, compound interest and penalty interest of the loan, liquidated damages, damages under the Principal Contract, the expenses for realizing the principal claim and all other payable expenses are repaid.

13.2 This Contract is independent from the Principal Contract, and shall not become invalid when the Principal Contract is null and void. If the Principal Contract becomes null and void, Party A shall still undertake the liability for mortgage guarantee hereunder.

13.3 After this Contract takes effective, neither party may change or terminate in advance this Contract without the consent of the other party. If this Contract needs to be changed or terminated, a written agreement shall be reached by both the Parties through consultation. Before such written agreement is reached, all terms contained herein shall continue in full force and effect.

13.4 Upon prior notice to the mortgager, this Contract and the mortgage right hereunder may be transferred together with the Principal Contract and the claim guaranteed. This Contract shall not be transferred separately from the Principal Contract. The mortgage right hereunder shall not be transferred or used as the guarantee of other claims separately from the claim guaranteed.

Article 14 Dispute Settlement

14.1 Any dispute arising out of the performance of this Contract between both the Parties shall be settled by both the Parties through consultation firstly; if such dispute cannot be settled through consultation, then it shall be settled through the _____ of the following methods:

14.1.1 it shall be submitted to  _________ for arbitration; or

`14.1.2 it shall be settled by litigation in the people’s court of the place where Party B is situated.

为了确保                                      (借款人)与本合同乙方签订的             字第       号借款合同(以下简称主合同)项下借款人的义务得到切实履行,甲方愿意提供抵押担保。为明确双方的权利、义务,依照我国《合同法》、《担保法》及其他有关法律法规,甲乙双方经平等协商一致,订立本合同。

第一条    甲方保证及声明

1.1  自己是本合同项下抵押物的完全的、有效的、合法的所有者或国家授权的经营管理者;该抵押物不存在所有权或经营管理权方面的争议。

1.2  完全了解主合同借款人的借款用途,为主合同借款人提供抵押担保完全出于自愿,在本合同项下的全部意思表示真实。

1.3  ?#35759;?#26412;合同项下抵押物的瑕疵作出充分合理说明。

1.4  本合同项下的抵押物依法可以设定抵押。

1.5  设立本合同的抵押不会受到任何限制。

1.6  本合同项下的抵押物未被依法查封、扣押或监管。

1.7  本合同项下的抵押物如已部分出租或全部出租,保证将设立抵押事宜告知承租人,并将有关出租情况书面告知乙方。

1.8 本合同项下的抵押担保行为符合甲方公司章程及章程规定的程序和权限,不违反法律法规及其他相关规定;如果该陈述与保证有虚假或隐瞒,甲方仍按本合同承担抵押担保责任,并愿承担由此产生的全部责任。

第二条    被担保的主债权种类及数额

2.1  本合同担保的主债权为乙方依据主合同发放的贷款,金额为人民币                  万元。

第三条    主合同借款人履行债务的期限

3.1  主合同履行期限为       个月,自             日起至   日止。如有变更,依主合同之约定。

第四条    抵押担保范围

4.1  甲方抵押担保的范围包括:主合同项下全部借款本金、利息、复利、罚息、违约金、赔偿金、实现主债权、抵押权所发生的律师费?#20154;?#26377;合理费用和所有其他应付的费用。

第五条    抵押物

5.1  抵押物详见《抵押物清单》。

5.2  《抵押物清单?#33539;?#25269;押物价值的约定,并不作为乙方依本合同第九条对抵押物进行处分的估价依据,也不构成乙方行使抵押权的任何限制。

第六条    抵押登记

6.1  法律法规规定或双方约定应当办理抵押登记的,甲乙双方应在本合同签订后15日内到当地有关抵押登记机关办理抵押登记?#20013;?span lang="EN-US">

6.2  抵押登记事项发生变化,依法需进行变更登记的,甲乙双方应在登记事项变更之日起15日内到有关抵押登记机关办理变更登记?#20013;?span lang="EN-US">

6.3  抵押登记完成后,乙方保管抵押物的他项权利证书原件,抵押物的产权证原件由甲方保管。

第七条    抵押物的占管

7.1  本合同项下的抵押物由甲方占管。甲方在占管期间应维护抵押物的完好,不得采用非合理方式使用抵押物而使抵押物价值产生减损。乙方有权检查抵押物的使用管理情况。

7.2  抵押物发生毁损、灭失的,甲方应及时告知乙方,并立即采取措施防止损失扩大,同时应及时向乙方提交有关主管机关出具的发生毁损、灭失的原因证明。

第八条    保险

8.1  本合同签订后15日内,甲方应到有关保险机构办理抵押物的财产保险基本险及附加                          险?#20013;?span lang="EN-US">ZL’s comments:建议与贷款人协商,根据具体情况?#33539;?#20445;险品种);保险期限不短于主合同履行期;保险金额不低于主合同贷款本息。

8.2  甲方应在保险单中注明,出险时乙方为第一受益人。保险单中不应有任何限制乙方权益的条款

8.3  在本合同有效期内,甲方不得以任何理由中断或撤销保险;如保险中断,乙方有权代为办理保险?#20013;?#19968;切费用由甲方承担

8.4  在本合同有效期内,抵押物如发生保险事故,保险赔偿金应当全额作为抵押财产提前向乙方清偿,或经乙方同意用于恢复抵押物的价值。

第九条    抵押权的实现

9.1  乙方在行使抵押权时,有权依据法律规定,经与甲方协商对抵押物进行折价以抵偿主合同借款人所欠债务或对抵押物进行拍卖、变卖以取得价款优先受偿。

9.2  乙方依据本合同9.1条处分抵押物时,甲方应给予配合,不得设置任何?#20064;?span lang="EN-US">

9.3   乙方处分抵押物所得的款项,应按下列次序处理:

(1)     用以偿付因依法处分抵押物而支出的一切费用;

2) 用以扣缴处分抵押物一切税款;

3) 用以偿还主合同债务之利息;

4) 用以偿还主合同债务。

扣除上述款项后,如有余款,乙方须将余款按本合同第11.6条处理。

第十条    甲方的权利和义务

10.1  本合同生效后,未经乙方书面同意,甲方保证不将本合同项下的抵押物再设立任何形式的抵押、质押,但若该抵押物的价值大于所担保的主债权的,甲方可以?#36879;?#25269;押物的余额部分进行再次抵押。

10.2  若甲方已将该抵押物出租的,抵押权实现后,该等租赁合同在有效期内?#24895;?#25269;押物的受让人继续有效。若抵押物尚未出租的,甲方仍有权在本合同生效后将抵押物出租,无需征得乙方同意。

10.3 抵押权存续期间,甲方若将抵押物部分或全部转让的(甲方以预、销售方式转让部分或全部抵押物,或甲方以股权转让等不必办理房地产过户?#20013;?#30340;方式转让该抵押物?#26576;?#22806;),应取得乙方同意。

10.4  本合同生效后,乙方依法将主债权转让给第三人的,在原抵押担保范围内继续承担担保责任,前提是乙方应将该等转让事宜书面通知甲方

10.5  除展期、增加贷款金额、增加抵押担保范围或者加重甲方担保责任外,乙方与主合同借款人协议变更主合同,无须经甲方同意,仍在本合同?#33539;?#30340;抵押担保范围内承担抵押担保责任

10.6  甲方的行为足以使抵押物价值减少(甲方预、销售的行为除外)且对乙方权益造成不利影响的,应停止其行为;造成抵押物价值减少且对乙方权益造成不利影响时,有义务恢复抵押物的价?#25285;?#25110;提供与减少的价值相当的担保。

10.7  甲方对抵押物价值减少无过错的,应当在所获损害赔偿的范围内向乙方提供担保。抵押物价值未减少的部分,仍作为债权的担保

10.8  因国家建设需要征用本合同项下的抵押物时,应当以所获得的征用补偿金提前清偿所担保的主债权或向双方约定的第三人提存。

10.9  承担本合同项下有关的费用支出,包括但不限于律师服务、财产保险、鉴定、估价、登记、过户、保管及诉?#31995;?#36153;用。

10.10  在本合同生效后,如发生分立、合并、股份制改造等变更情形,妥善落?#24403;?#21512;同项下的担保义务。

10.11  在抵押权受到或可能受到来自任何第三方的侵害时,有义务通知乙方并协助乙方免受侵害

10.12  有下列情形之一,及时以书面形式通知乙方:

10.12.1  经营机制发生变化,如实行承包、联营、合并、分立、股份制改造等;

10.12.2  经营范围及注册资本变更;

10.12.3  涉及重大经济纠纷诉讼;

10.12.4  抵押物权属发生争议;

10.12.5  破产、歇业、解散、被停业整顿、被吊销营?#25269;?#29031;、被撤销;

10.12.6  住所、电话、法定代表人发生变更。

10.13  发生10.12.110.12.2的情形时,应提前30日书面通知乙方(以甲方董事会决议作出之日为起算点,如需送交相关政府机关批准或登记的,以送交之日为起算点);发生10.12条约定的其他情形的,应在事后7日内书面通知乙方。

10.14  以在建工程为抵押物担保的,在工程竣工验收取得产权证明后,乙方到有关抵押登记机关办理房地产抵押登记变更等?#20013;?#30340;,甲方应当积极配合。

10.15  主合同借款人清偿了主合同项下全部债务后,有权要求解除本合同项下抵押。

第十一条    乙方的权利和义务

11.1  主合同履行期届满,借款?#23435;?#20381;约归还借款本金、利息及其他费用的,?#20057;?#26041;根据主合同约定解除主合同时,乙方有权处分本合同项下的抵押物。

11.2  出现下列情形之一时,有权提?#25353;?#20998;抵押物,并从处分所得价款中优先受偿

11.2.1  依据主合同约定或法律规定解除主合同;

11.2.2  依据主合同约定的其他情形提前收回贷款,其主合同项下的债权未实现或未能全部实现;

11.3  有权要求甲方协助以避免抵押权受到来自任何第三方的侵害。

11.4  在本合同有效期内,依法转让主债权的,应及时书面通知甲方

11.5  实现抵押权后,应尽力配合甲方行使其对借款人的追偿权。

11.6  处分本合同项下抵押物所得,在偿还本合同抵押担保范围内的全部债务后还有剩余的,将剩余部分退还甲方。

11.7  主合同借款人清偿了主合同项下全部债务后,乙方应解除抵押物?#31995;?#25269;押,应于主合同项下全部债务清偿后10日内与甲方共同到原登记机关办理注销抵押?#20013;?#35299;除本合同项下的抵押,一切因此而发生之费用概由甲方承担。

第十二条    违约责任

12.1  甲方在本合同第一条中作虚假陈述与声明,给乙方造成损失的,应予赔偿。

12.2  本合同生效后,甲、乙双方当事?#21496;?#24212;履行合同约定的义务,任?#25105;?#26041;不履行或不完全履行本合同所约定义务的,应?#32972;?#25285;相应的违约责任,并赔偿由此给对方造成的损失。

12.3  如因甲方的过错造成本合同无效,甲方应按照中国法律规定承担责任

第十三条    合同的生效、变更、解除和终止

13.1  本合同自甲、乙双方法定代表人(负责人)或其授权代理人签字或盖章并加盖公章之日起生效,需办理抵押登记的,自到有关抵押登记机关办理完?#31995;?#25276;登记?#20013;?#20043;日起生效,至主合同项下借款本金、利息、复利、罚息、违约金、赔偿金、实现债权的费用和所有其他应付费用全部清偿之日终止。

13.2  本合同独立于主合同,不因主合同的无效而无效。如主合同无效,甲方仍应承担本合同项下的抵押担保责任。

13.3  本合同生效后,甲、乙双方任?#25105;?#26041;不得擅自变更或提前解除本合同。如本合同需要变更或解除时,应经甲、乙双方协商一致,并达成书面协议。书面协议达成之前,本合同各条款仍然有效。

13.4  本合同以及本合同项下的抵押权可以在事先通知抵押人的情况下与主合同及担保债权一同转让。本合同不得与主合同分离而单独转让。本合同项下的抵押权不得与担保债权分离而单独转让或作为其他债权的担保。

第十四条    争议的解决

14.1  甲、乙双方在履行本合同过程中发生的争议,首先由甲、乙双方协商解决;协商不成的,则采用下述第     种方式解决:

14.1.1                 进行仲裁;

14.1.2  在乙方所在地法?#21644;?#36807;诉讼方式解决。

第十六条    附件

16.1  本合同附件是本合同不可分割的组成部分,与本合同正文具有同等法律效力。
